Our Terms and Conditions ("T&Cs") encompass the provisions outlined in this document, along with our Privacy Policy available on our homepage at www.evolutions.tv, which governs any services ("Services") provided by "Evolutions" (Evolutions Media LTD) to you.
 
By utilising our "App" ("application"), you signify your acceptance of these T&Cs. References to "you" and "your" pertain to the individual accessing and/or using our "application" or Services. References to "we," "us," and "our" denote "Evolutions" or its subsidiaries.

Accessing our “application” and using our Services

Access to our "application" is granted on a temporary basis, and we reserve the right to withdraw or modify the products and services offered on or through our "application" without prior notice (see below). We shall not be held liable if our "application" becomes unavailable for any reason at any time or for any duration, except to the extent that we have explicitly committed to you regarding the availability of our Services.

If you opt for or are provided with a user login, password, or any other piece of information as part of our security measures, you must handle such information confidentially, using it solely for your use of the Services, and refrain from disclosing it to any third party. We retain the right to deactivate any user identification code or password, whether selected by you or assigned by us, at any time if, in our judgment, you have failed to comply with any of the provisions of these T&Cs. You are responsible for making all necessary arrangements to access our "application" and utilise our Services. Additionally, you are accountable for ensuring that all individuals who access our "application" and use our Services through your internet connection are informed about these T&Cs and adhere to them.

 

You are responsible for ensuring:

·         You do not input personal data on the platform beyond what is necessary to manage your account.

·         That passwords are secure and kept securely.

·         Users should log off after each use.

·         You implement screen locks after a period of inactivity.

 

You will comply with all applicable laws and regulations regarding your use of the "application" and the Services. You will provide all necessary cooperation and assistance, and adhere to any security and usage policies we may apply to the "application" and Services from time to time. You will refrain from misusing the "application" or our Services or attempting to interfere with their operation.

 

You are prohibited from using, copying, modifying, or transferring the "application," including the services, or any related documentation, in whole or in part, except as expressly permitted in these T&Cs. You may not translate, reverse engineer, decompile, disassemble, modify, or create derivative works based on the "application" (including the Services), except as expressly permitted by applicable law despite the foregoing prohibition. You may not alter, delete, or obscure any notices of proprietary rights or any product identification or restrictions on or in the "application" (including the Services).

 

Our Services

Usage rights: We are the owner or the licensor of all intellectual property rights in our Services. Such Services are provided on a non-exclusive, non-transferable basis and only for use for your internal business purposes. You agree not to use them for other purposes and not to resell them or to make them available to others unless and to the extent we expressly agree otherwise in writing with you.

Services are provided on an "as is" basis, and we reserve the right to vary or suspend them from time to time.

 

Our liability

We will exert commercially reasonable efforts to provide the Services to you with reasonable care and skill. No other warranties or guarantees are provided in relation to the Services. To the extent permitted by law, we, other members of our group of companies, and third parties connected to us hereby expressly exclude, in relation to the Services:

 

any liability for any indirect or consequential loss or damage and any liability (whether direct or indirect) for:

 

- loss of income or revenue;

- loss of business;

- loss of profits or contracts;

- loss of data;

- loss of goodwill.

 

These T&Cs (including the documents referred to herein) constitute the entire agreement between us, and all conditions, warranties, and other terms which might otherwise be implied by statute, common law, or the law of equity are hereby expressly excluded to the fullest extent permitted by law.

 

Information about you and your visits to our “application”; Data processing

 

We process information about you in accordance with our Privacy Policy. By using our "application," you consent to such processing, and you warrant that all personal data provided by you is accurate, up-to-date, and can lawfully be supplied to us. When you provide personal data to us concerning your use of the Services (e.g., personal data relating to any content you may manage), you acknowledge that you are the data controller in relation to such data, and that we are the processor ("Processor"). You agree to comply with all applicable data privacy laws in relation to your processing of it. You confirm that you are entitled to provide it to us for processing (which processing may take place outside the EEA). Where we act as your Processor, we will comply with our obligations under the General Data Protection Regulation (GDPR) to the extent applicable to us, including (where relevant) the provisions referred to in Article 28(3) of the GDPR, which controllers are obliged to require Processors to comply with.

We take data protection seriously, and we want to assure you that any information we hold about you is processed fairly and lawfully:

Personal information is any data relating to a person who can be directly or indirectly identified by that data. It is a wide definition and includes several things. Private meeting metadata.

·         IP addresses of participants

 

Shared room metadata.

 

·         for monitoring service for malicious activity

Service request form metadata.

 

·         To identify the user making the request and order to correctly fulfil invoicing.

·         Chat GPT conversation log - for monitoring service for malicious activity.

Once you have given us your information, we are responsible for what happens to it. We take our responsibilities seriously and make sure any personal information we collect and use is done proportionately, correctly, safely, and in line with applicable law.

 

Accessing Media using our “application”

You must comply with the terms of use (including any acceptable use policy) applicable to the Services. You indemnify us for any non-compliance with such terms of use and any acceptable use policy and against any liabilities we may incur and claims which arise (whether for intellectual property infringement, breach of privacy, data privacy, defamation, infringement of law, or in relation to any other cause of action) due to material which you upload to our "application" or edit using our Services or (save where due to our fault) due to or arising out of your use of the "application", software and our Services.

 

Viruses, hacking and other offences.

You must not misuse our "application" and our Services by knowingly introducing viruses, trojans, worms, logic bombs, or any other material that is malicious or technologically harmful. Additionally, you must not attempt to gain unauthorised access to our "application," the server on which it is stored, or any server, computer, or database connected to it. Nor should you attack our "application" through a denial-of-service attack or a distributed denial-of-service attack. We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of our "application" or your downloading of any material posted on it, or on any web "application" linked to it.

Assignment / Sublicensing / sub-contracting

You shall not, without our prior written consent, assign, novate, transfer, charge, subcontract, sublicense, or otherwise deal with any of your rights or obligations under these T&Cs and the contract you have with us. We reserve the right to assign, novate, transfer, charge, subcontract, or otherwise deal with any of our rights or obligations under these T&Cs and the contract you have with us at any time.

 

Termination

Any Services provided to you are for the duration specified therein. We reserve the right to terminate your use of all or part of the "application" and/or our Services immediately at any time if you violate any provisions of these T&Cs. Upon termination, you must promptly discontinue all use of our Services, software, and/or "application" as applicable, and delete any software and other materials or information provided by us to you. However, you may retain your own content edited through the use of our Services and software.

 

Confidentiality

You must keep our confidential information confidential and refrain from using it except to the extent necessary for you to utilise our Services in accordance with these T&Cs. Our confidential information encompasses any data that, due to its nature or the circumstances of its disclosure, reasonably ought to be considered confidential. However, it does not include information that becomes publicly available other than through your violation of these T&Cs. In cases where we engage in a business or commercial relationship to provide products or Services to you ("business agreement"), such information encompasses the commercial terms of our arrangement.

Unless otherwise agreed, and subject to the paragraph below, no party shall issue, or permit any individual to issue, any public announcement regarding any business agreement without the prior written consent of the other party (with such consent not unreasonably withheld or delayed), except as mandated by law, regulation (including, but not limited to, the AIM rules and Market Abuse Regulation (MAR)), any governmental or regulatory authority (including, without limitation, any relevant securities exchange), any court, or other authority of competent jurisdiction.

 

Force Majeure

We shall bear no liability to you if we are prevented from or delayed in fulfilling our obligations, or conducting our business, due to acts, events, omissions, or accidents beyond our reasonable control. These may include, without limitation, strikes, lock-outs, or other industrial disputes (whether involving our workforce or any other party), failure of utility services, transport, or telecommunications networks, acts of God, war, riots, acts of terrorism, civil commotion, malicious damage, cyber-attacks, hacking, compliance with laws or governmental orders, rules, regulations, or directions, accidents, breakdowns of plant or machinery, fires, floods, storms, or defaults of suppliers or subcontractors. Where reasonably feasible, we will notify you of such an event and its anticipated duration.

 

Jurisdiction and applicable law

The jurisdiction of the English courts shall be exclusive for any claim arising from or pertaining to a visit to our "application" and your utilisation of our Services. However, we reserve the right to initiate legal actions against you for breaching these conditions and infringing upon our rights in your country of residence or any other pertinent jurisdiction.

These Terms and Conditions, along with any dispute or claim arising from or related to them, their subject matter, or formation (including non-contractual disputes or claims), shall be governed by and interpreted in accordance with the laws of England and Wales.
